Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Yoink Events Inc. (“Yoink,” “we,” “us,” or “our”) governing your access to and use of our website at yoink.events and our iOS application (together, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Read carefully. §11 limits our liability, §13 requires you to resolve disputes individually rather than through a class action, and §14 sets British Columbia, Canada as the governing law and exclusive forum.
1.Eligibility
You must be at least 18 years old to use the Services. By creating an account or otherwise using the Services, you represent that you are at least 18, have the capacity to enter into these Terms, and are not barred from using the Services under applicable law.
The Services are offered in Canada and the United States only. They are not directed at, and not available to, residents of the European Economic Area, the United Kingdom, or Switzerland.
2.Account registration and security
To use most features of the Services you need to create an account. You agree to provide accurate information, keep it current, and not impersonate any other person or entity. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
Notify us promptly at compliance@yoink.events if you suspect any unauthorized use of your account. We are not liable for losses caused by unauthorized use of your account where you have failed to protect your credentials.
3.What the Services do
Yoink helps you discover live events and the artists you care about, and lets you opt into push notifications when tickets become available or events match criteria you save. The Services aggregate event data from third-party ticketing platforms; we do not control that data and cannot guarantee its accuracy, completeness, or freshness.
We may add, modify, or remove features at any time. Some features may require a current version of the iOS app or a supported browser; we have no obligation to continue supporting outdated versions.
4.Ticket purchases happen off-platform
Yoink is not a ticket seller, reseller, broker, or marketplace. All ticket purchases occur on third-party platforms (including but not limited to Ticketmaster, StubHub, and SeatGeek). When you tap a ticket link in the Services, you leave Yoink and transact entirely with the third party. That third party is the merchant of record and is solely responsible for:
- Pricing, fees, taxes, and payment processing.
- Ticket availability, delivery, validity, and entry to the event.
- Refunds, exchanges, cancellations, postponements, and any related guarantees.
- Their own terms of service and privacy practices.
We make no warranty as to ticket availability or pricing at any time. Alerts you receive through the Services are best-effort notifications; they are not guarantees of availability and they do not entitle you to any ticket.
5.Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent, or unauthorized purpose.
- Scrape, crawl, harvest, or otherwise extract data from the Services by automated means, except as expressly permitted by our
robots.txtand/llms.txtfiles. - Use the Services or alerts to acquire tickets for resale in volume, run a ticket-broker operation, or otherwise interfere with the normal availability of tickets for end consumers.
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services, except where this restriction is prohibited by applicable law.
- Probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measures.
- Use the Services to send spam, malware, or other unwanted content; to impersonate another person; or to abuse, harass, threaten, or harm any person.
- Interfere with or disrupt the integrity or performance of the Services, including by transmitting viruses, worms, or malicious code.
- Access the Services through any interface other than those we provide, or create derivative apps or services that compete with us using our data.
We may investigate and respond to violations of these rules, including by suspending or terminating your account.
6.User content and feedback
The Services let you submit content (for example, feedback messages, saved-artist lists, and alert preferences) (“User Content”). You retain ownership of your User Content. By submitting it, you grant Yoink a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, and use that content solely as needed to operate, improve, and support the Services.
You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights or applicable law.
If you send us suggestions, ideas, or feedback, you agree we may use them without obligation or compensation. We will not publish your feedback in a way that identifies you without your permission.
7.Intellectual property
The Services and all related content we provide — including software, design, text, graphics, logos, and the Yoink name and marks — are owned by Yoink or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use, subject to these Terms. No other rights are granted by implication or otherwise.
Third-party content surfaced through the Services (including event names, artist names, venue information, and images sourced from ticketing platforms) belongs to its respective owners and is subject to those owners' terms.
8.Third-party services
The Services integrate with third-party services that you may choose to connect, including:
- Apple Music and Spotify for importing artists you follow into your alert list.
- Apple Sign-In and Sign in with Google for authentication.
- Apple Push Notification service for delivery of alerts you enable.
- Ticketmaster, StubHub, and SeatGeek as event and ticket data sources.
Your use of these third-party services is governed by their own terms and privacy policies. We are not responsible for their availability, accuracy, or practices. If a third-party service becomes unavailable, we may need to disable the features that depend on it.
9.Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, Yoink disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses; that alerts will be delivered on time or at all; that any event listed will actually occur; or that any ticket will be available at any specific price, time, or quantity. Event data and pricing are sourced from third parties and change frequently.
10.Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOINK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CA$100).
Because Yoink is not a party to your ticket transactions with Ticketmaster, StubHub, SeatGeek, or any other third party, we are not liable for any cancellation, fee, delivery failure, counterfeit ticket, denied entry, or other issue arising from those transactions. Direct those claims to the merchant of record.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.
11.Indemnification
You agree to defend, indemnify, and hold harmless Yoink and our officers, directors, employees, and agents from any claim, damage, loss, liability, cost, or expense (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party right or applicable law.
12.Termination
You may stop using the Services at any time and delete your account from in-app Settings. We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason — for example, if you violate these Terms, if required by law, or if we discontinue a feature.
On termination, your right to use the Services ends immediately. Sections that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, 13, and 14) will survive.
13.Dispute resolution and class-action waiver
Informal resolution first. Before filing any claim, you agree to contact us at compliance@yoink.events and make a good-faith effort to resolve the dispute. Most issues can be resolved this way.
No class actions. You and Yoink each agree that any dispute will be brought in your or our individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding. Class arbitrations and class actions are not permitted. The arbitrator or court has no authority to consolidate the claims of more than one person.
Jury trial waiver. To the maximum extent permitted by law, you and Yoink each waive any right to a jury trial.
14.Governing law and forum
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The exclusive forum for any dispute that is not subject to informal resolution is the courts located in Vancouver, British Columbia, and you and Yoink each consent to personal jurisdiction there. This does not affect any non-waivable rights you may have under the laws of the place where you live.
15.Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by prominently posting a notice on the Services or by sending you a direct message. The updated Terms take effect on the date indicated at the top of this page. By continuing to use the Services after that date, you accept the updated Terms. If you do not agree to the changes, stop using the Services.
16.Miscellaneous
Entire agreement. These Terms (together with our Privacy Policy) constitute the entire agreement between you and Yoink regarding the Services and supersede any prior agreements on that subject.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, financing, or sale of assets.
Apple-specific terms (iOS app). You acknowledge that these Terms are between you and Yoink, not Apple, and that Apple is not responsible for the iOS app or its content. Apple has no obligation to provide maintenance or support for the iOS app. In the event of any failure of the iOS app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple is a third-party beneficiary of this paragraph and may enforce it against you.
